General Terms and Conditions (AGB)

YS Global Trade Partners · Sole proprietorship · Trauns Allee 15, 22043 Hamburg, Germany · yahya@ystradepartners.com · Wirtschafts-IdNr.: DE453760205 · Version: September 2026 · This English text is a convenience translation; the German version at ystradepartners.com/de/ is authoritative.

These general terms govern all services of YS Global Trade Partners. The scope, deliverables, timeline and fee of a profit-improvement engagement (diagnose, recover, control) are set out in the individual engagement confirmation, which takes precedence in case of conflict. The full terms for the market-entry and M&A services ("Deals", "Export") are published at ystradepartners.com.

1. Scope and Parties

1.1 These Terms apply to all services of YS Global Trade Partners, owner Yahya Yacoob, Hamburg ("YS", "we") offered via ystradepartners.com and yacoob.ystradepartners.com.

1.2 Our services are directed exclusively at businesses within the meaning of § 14 BGB (Unternehmer), legal entities and partnerships. By ordering, the client confirms that it acts in the exercise of its commercial or independent professional activity and is authorised to represent the company named. Consumers (§ 13 BGB) are not eligible; consumer withdrawal rights do not apply.

1.3 Deviating terms of the client do not apply unless we have expressly agreed to them in writing.

2. Our Role

2.1 In profit-improvement engagements YS provides commercial preparation and analysis of financial information (for example spend analysis, supplier and trade-term review, P&L clean-up, normalised EBITDA, KPI packs and reporting instruments) and supports the client's own decisions on the basis of that analysis. Such services are commercial preparation only and do not constitute tax, legal, auditing or investment advice; the client remains responsible for the accuracy of the underlying data and for its own decisions.

2.2 In market-entry and M&A engagements YS acts as an intermediary that identifies and introduces business contacts (Nachweis- und Vermittlungstätigkeit). YS does not act as a broker of securities, an investment adviser, a legal or tax adviser, or as a party to any transaction between the client and a third party.

2.3 Valuation ranges, teasers, leak maps and assessments are indicative working documents based on information provided by the client. They are not appraisals, fairness opinions or advice, and the client remains responsible for its own decisions and for engaging its own legal, tax and financial advisers.

3. Engagement, Deliverables and Fees

3.1 An introductory conversation and any prequalification via the online form are free and non-binding for both parties.

3.2 Contract conclusion. A contract is formed when the client confirms its business status and these Terms and YS confirms the engagement in text form (engagement confirmation).

3.3 Deliverables, timelines and the data the client must provide are described in the engagement confirmation. Periods start on receipt of complete data; delays caused by incomplete data extend the period accordingly.

3.4 Fees are set out in the engagement confirmation. As a small-business owner under § 19 UStG we do not charge VAT. Where a fee is calculated on verified savings, the method of verification and the payment dates are agreed in the engagement confirmation.

4. Client Obligations

The client warrants that all information provided is complete and accurate, that it holds the rights to the materials it submits, that it is not subject to insolvency proceedings and that the person ordering is authorised. The client will not circumvent YS by contacting introduced parties through third parties to avoid fees.

5. Confidentiality

Both parties treat information received from the other as confidential and use it only for the purpose of the engagement. YS shares client information with third parties only in anonymised form until the client approves an introduction, and thereafter only with the approved counterparty under a non-disclosure agreement. YS's mutual NDA is provided with the onboarding email.

6. No Guarantee, No Advice

YS owes the deliverables described in the engagement confirmation, not a particular saving, transaction, listing, offer or commercial result. YS does not provide legal, tax, investment or financial advice (RDG, StBerG, WpIG). All figures and timelines outside the express deliverables are non-binding.

7. Liability

7.1 YS is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and for guarantees expressly given.

7.2 For slight negligence YS is liable only for breach of essential contractual obligations (cardinal duties), limited to the foreseeable damage typical for the contract, and in any case limited in total to the amount of the fee paid by the client for the respective service.

7.3 Liability for indirect damage, lost profit, loss of business or loss of transaction value is excluded, except in the cases of 7.1.

8. Payment and Invoicing

The fee is set out in the individual engagement confirmation and invoiced. Payment is due by bank transfer within 14 days of the invoice date. All amounts are in euro. Set-off by the client is permitted only with undisputed or legally established claims.

9. Data Protection

Personal data is processed in accordance with our Privacy Policy. The client is responsible for the lawfulness of personal data it transmits to YS.

10. Final Provisions

10.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. 10.2 Place of performance and exclusive place of jurisdiction for merchants, legal entities under public law and special funds under public law is Hamburg. 10.3 Should any provision be invalid, the remainder remains unaffected. 10.4 Amendments require text form. 10.5 We may update these Terms for future contracts; the version accepted at the time of ordering applies to existing contracts.
